Terms and Conditions

These Terms and Conditions ("Terms") govern your use of the Horizn daily planning application, website, and related services (the "Service") operated by Horizn ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Eligibility

You must be at least 16 years old (or the minimum age of digital consent in your jurisdiction) to use the Service. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into these Terms.

2. Your Account

• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
• You must provide accurate and current information when creating your account.
• You may not share your account with others or use another person's account without permission.
• You agree to notify us immediately of any unauthorised use of your account.

3. Subscriptions and Billing

• Free trial: We offer a 14-day free trial. No payment details are required to start a trial. At the end of the trial, you may choose to subscribe to a paid plan.
• Paid plans: We offer monthly and annual subscription plans. Prices are displayed on our pricing page and may change with notice.
• Payment: Subscriptions are billed in advance through our payment provider, Stripe. You authorise us to charge the applicable fees to your payment method.
• Renewal: Plans automatically renew at the end of each billing cycle unless you cancel before the renewal date.
• Cancellation: You can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.
• Fee changes: We may change our fees with at least 30 days' notice. Changes take effect at the start of your next billing cycle.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful, harmful, or fraudulent purpose.
• Upload, store, or transmit content that is illegal, infringing, or harmful.
• Attempt to access, disrupt, or compromise the Service's security, servers, or infrastructure.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use automated systems (bots, scrapers) to access the Service in a way that degrades performance.
• Resell or sublicense access to the Service without our written permission.
• Interfere with other users' use of the Service.

5. Integrations and Third-Party Services

• The Service allows you to connect third-party services such as Google Calendar, Gmail, Outlook, Asana, Slack, and Monday.com.
• Your use of these services is also governed by their respective terms and privacy policies.
• We are not responsible for the actions or policies of third-party providers.
• You are responsible for the data you import from or sync with third-party services.
• We may modify or discontinue integrations if a third-party provider changes or withdraws access.

6. Your Content

• You retain ownership of all tasks, notes, and other content you create or import into the Service ("Content").
• You grant us a limited licence to host, store, and process your Content solely to provide the Service.
• You are responsible for ensuring your Content does not violate any law or third-party right.
• We may suspend or remove Content that we believe breaches these Terms or applicable law.

7. Intellectual Property

The Service, including its design, features, and branding, is owned by Horizn and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or proprietary technology except as required to use the Service.

8. Disclaimers

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
• We do not guarantee that the Service will be uninterrupted, secure, or error-free at all times.
• Planning forecasts, prioritisation, and insights are provided as suggestions only and do not constitute professional advice.
• You are solely responsible for decisions made based on the Service's output.

9. Limitation of Liability

To the maximum extent permitted by law, Horizn and its affiliates, officers, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising out of or related to your use of the Service. Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold Horizn harmless from any claims, damages, or expenses arising from your use of the Service, your Content, or your breach of these Terms.

11. Termination

• You may close your account at any time from your account settings.
• We may suspend or terminate your account if you breach these Terms or if we reasonably believe your conduct is harmful.
• Upon termination, your right to use the Service ends. Your data will be deleted within 30 days, subject to legal retention requirements.
• Provisions that by their nature should survive termination (including ownership, disclaimers, and limitation of liability) will remain in effect.

12. Governing Law and Disputes

These Terms are governed by the laws of Australia. Any dispute arising out of or relating to these Terms or the Service shall be resolved in the courts of Australia, and you consent to the exclusive jurisdiction of those courts. Where mandatory consumer protections apply in your jurisdiction, nothing in these Terms limits those rights.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated terms on this page and, where appropriate, sending a notification. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. General Provisions

• Entire agreement: these Terms constitute the entire agreement between you and Horizn regarding the Service.
• Severability: if any provision is found unenforceable, the remaining provisions remain in full effect.
• Waiver: our failure to enforce a right does not waive that right.
• Assignment: you may not assign these Terms without our consent. We may assign them in connection with a merger or sale.
